By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Service Description

xTrac AI provides an agentic workflow automation platform that enables users to:

  • Create and deploy AI-powered workflows
  • Connect and integrate with third-party services (Gmail, Slack, Notion, etc.)
  • Automate business processes using intelligent agents
  • Collaborate with team members on workflow development
  • Monitor and manage workflow executions

User Accounts and Responsibilities

Account Creation

To use our Service, you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account

Account Security

You are responsible for maintaining the security of your account credentials. Notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account.

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or pose a security risk to our platform or other users.

Acceptable Use Policy

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for illegal activities or spam
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization
  • Create workflows that violate third-party terms of service
  • Scrape, crawl, or harvest data without permission

Violation of this policy may result in immediate account termination and legal action.

Intellectual Property Rights

Our Property

The Service, including its original content, features, and functionality, is owned by xTrac AI and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without prior written consent.

Your Content

You retain ownership of the workflows, configurations, and data you create using our Service ("Your Content"). By using our Service, you grant us a limited license to:

  • Host, store, and process Your Content to provide the Service
  • Create backups for data protection purposes
  • Use anonymized, aggregated data for analytics and improvements

This license ends when you delete Your Content or terminate your account.

Third-Party Integrations

Our Service integrates with third-party platforms (Gmail, Slack, Notion, etc.). Your use of these integrations is subject to:

  • The respective third-party's terms of service and privacy policies
  • Authorization and permission requirements of each platform
  • API usage limits and restrictions imposed by third parties

We are not responsible for the availability, accuracy, or reliability of third-party services. Changes or discontinuation of third-party APIs may affect workflow functionality.

Subscription and Billing

Subscription Plans

We offer various subscription tiers with different features and usage limits. Pricing is displayed on our website and may be updated with notice to existing subscribers.

Billing and Payments

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is due immediately upon subscription purchase
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension
  • All fees are non-refundable except as required by law

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods.

Service Availability and Modifications

While we strive for high availability, we do not guarantee uninterrupted access to the Service. We may:

  • Perform scheduled maintenance with advance notice
  • Conduct emergency maintenance as needed
  • Modify, suspend, or discontinue features at any time
  • Impose usage limits to ensure fair resource allocation

We will make reasonable efforts to notify you of significant changes or disruptions to the Service.

Limitation of Liability

Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, xTrac AI SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Service interruptions or security breaches
  • Third-party actions or content
  • Workflow failures or integration issues

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless xTrac AI from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described in our Privacy Policy.

We implement reasonable security measures to protect your data, but you acknowledge that no method of electronic transmission or storage is 100% secure.

Termination

We may terminate or suspend your account immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Causing harm to our platform or users
  • Any reason at our sole discretion

Upon termination, your right to use the Service ceases immediately. We may delete your account and data after a reasonable grace period. You remain responsible for all charges incurred before termination.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which xTrac AI operates, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class action lawsuits.

General Provisions

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and xTrac AI regarding the Service.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
